Terms and Conditions Ordinary Member
This document provides an overview of the terms and conditions of membership applying to ordinary members of UFX (“the Association”).

Objects of the Association
The objects of the Association are to act as a provocative and politically savvy social enterprise, leading progressive discussion in urban studies and related disciplines, in pursuit of an urban future for South Australia that is healthy, confident, equitable and sustainable
Membership
Ordinary Members:
must apply for Membership of the Association;
must be natural persons;
are eligible to be elected or appointed to the Board; and
have the right to vote at Annual and Special General meetings of the Association.
Upon acceptance of an application for Ordinary or Associate Membership by the Board (in its absolute discretion) and payment of any applicable fees (as set out in below), the applicant shall be a Member of the Association.
Fees
The fees for Membership of the Association are determined by the Board from time to time.
Fees are payable periodically, as determined by the Board from time to time.
Fees are payable in a manner determined by the Board from time to time.
A Member whose fee is outstanding for more than thirty days after the due date for payment shall automatically cease to be a Member of the Association, but may re-apply for Membership of the Association.
The Board may resolve to not accept a fee from any Member, and that Member’s Membership shall then cease.
A Member may resign his or her Membership by giving written notice to the Secretary.
A resigning Member is liable for any outstanding fees. The Association may recover such fees as a debt due to the Association.
Expulsions
The Board may resolve to expel a Member upon a charge of conduct detrimental to the interests of the Association.
Particulars of the charge must be communicated to the Member in writing at least one month before the meeting of the Board at which the matter will be determined.
The Member must be given an opportunity to make written submissions in reply to the charge, which submissions shall be distributed to all Board Members prior to the meeting of the Board at which the matter will be determined.
The determination of the Board shall be communicated to the Member. If the Board resolves to expel the Member, the Member shall also be advised of his or her right to appeal the Board’s determination.
If the Board resolves to expel the Member, the Member shall cease to be a Member of the Association at the time the Board’s resolution is communicated to the Member.
It will be open to a Member to appeal his or her expulsion to the Association at a General Meeting. The intention to appeal must be communicated to the Secretary within 14 days after the determination of the Board is communicated to the Member.
In the event of an appeal, the appellant’s membership of the Association shall be reinstated if the determination of the Board is reversed by the Members of the Association at the General Meeting.
